    Terms of Service

    Last updated: September 29, 2026

These Terms of Service ("Terms") govern your access to and use of the Receivly platform and related services (the "Service") provided by Touchpoint Office, LLC DBA Receivly ("Receivly," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If your organization has accepted the Receivly Software License Agreement, that Agreement governs your organization's use of the Service and prevails over these Terms where they differ.

    1. Description of Service

Receivly is a cloud-based platform for managing parcels, mail and visitors. It provides barcode and label scanning, real-time email and SMS notifications, digital mailroom capabilities, visitor management (including self check-in on a lobby kiosk, visitor invitations, host notifications and visitor agreements), recipient portals, organizational analytics, and multi-site support.

Some features use artificial intelligence, such as AI Smart Scan, which reads shipping labels. AI features can make mistakes, so please check their results before relying on them.

    2. Account Registration

    • You must be at least 18 years of age to create an account.
    • You agree to provide accurate, current, and complete information during registration.
    • You are responsible for safeguarding your login credentials and for all activity under your account.
    • You must notify us immediately of any unauthorized use of your account.

    3. Organization Accounts

An authorized administrator creates and manages the organization account, including inviting users and recipients via invite codes. All data within an organization is scoped to that organization and governed by role-based access controls. Administrators are responsible for managing user permissions within their organization.

    4. Subscription Plans & Billing

    • The Service is offered under subscription plans (Lite, Office, Pro and Enterprise) with optional add-ons such as Digital Mailroom and Visitor Management.
    • Subscriptions are billed monthly or annually through our payment processor.
    • Free trials automatically convert to a paid subscription unless canceled before the trial period ends.
    • Payments are non-refundable; however, you will retain access to the Service through the end of your current billing period.
    • We will provide at least 30 days' notice before any price changes take effect.

    5. Acceptable Use

    You agree not to:

    • Use the Service for any unlawful purpose
    • Upload or distribute malware, viruses, or other harmful code
    • Attempt unauthorized access to any part of the Service or its infrastructure
    • Disrupt or interfere with the Service's operation
    • Reverse engineer, decompile, or disassemble any part of the Service
    • Send spam or unsolicited communications through the Service
    • Resell, sublicense, or redistribute the Service without authorization
    • Scrape, crawl, or extract data from the Service by automated means

    6. SMS Text Notifications

The Service may send SMS text notifications regarding parcel and mail deliveries and visitor arrivals. By using the Service and providing a mobile phone number, you consent to receiving these notifications.

    • Carriers nor Receivly are not liable for delayed or undelivered messages.
    • Message and data rates may apply depending on your mobile carrier plan.
    • You may opt out of SMS notifications at any time through your account settings or by contacting us.
    • SMS delivery is provided on a best-effort basis and is subject to carrier network availability.

    7. Intellectual Property

Receivly and its licensors own all rights, title, and interest in the Service, including all software, designs, trademarks, and documentation. You retain ownership of all data you submit to the Service. By using the Service, you grant us a limited, non-exclusive license to use your data solely to operate and improve the Service.

    8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

    9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, whether scheduled or unscheduled.

    10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECEIVLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO RECEIVLY DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

    11. Indemnification

You agree to indemnify, defend, and hold harmless Receivly and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

    12. Termination

    • You may close your account at any time through your account settings.
    • We may suspend or terminate your access for violations of these Terms or non-payment.
    • After an account is closed, the organization has 30 days to export its data. After that, the data is permanently deleted, as described in our Privacy Policy.

    13. Dispute Resolution

Any dispute arising from these Terms shall first be resolved through good-faith negotiation. If it is not resolved within 30 days of written notice, the parties agree to submit it to non-binding mediation with a mutually agreed-upon mediator in Travis County, Texas. If mediation does not resolve the dispute within 60 days of the first mediation session, either party may pursue its legal remedies as described in Governing Law. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information without first engaging in mediation.

    14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Travis County, Texas.

    15. Modifications

We reserve the right to modify these Terms at any time. Changes will be reflected by the "Last Updated" date at the top of this page. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.

    16. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy and, for organizations that have accepted it, the Receivly Software License Agreement, constitute the entire agreement between you and Receivly regarding the Service. Where these Terms and the Software License Agreement differ, the Software License Agreement governs.
